Film, TV & New Media Transactional Services

 

We regularly form limited liability companies and other entities; provide start-up advice; prepare and negotiate agreements for acquisition of motion picture and other rights including option/acquisition agreements, purchase agreements, writer agreements, exclusive shopping agreements and life story rights agreements; and draft and negotiate financing agreements and related documents including private placement memoranda, loan agreements, equity financing agreements and hybrid loan/equity transactions including partially financing motion pictures through sales of tax credits. We also assist our production company clients with becoming signatories to the applicable agreements with the WGA, SAG-AFTRA, DGA and IATSE and advise clients regarding relevant provisions under those agreements. Additionally, we regularly negotiate and draft production contracts (with networks, producers, directors, actors, editors and others) and handle clearance issues.

Music Transactional Services

 

We draft and negotiate all types of agreements in the recorded music, music publishing and music performance industries including recording agreements, co-publishing and exclusive songwriter agreements, publishing administration agreements, record producer agreements, side artist agreements, composer agreements, soundtrack album agreements, album financing agreements, tour/performance agreements, event streaming agreements, endorsement agreements, band partnership agreements, talent management agreements, synch and master use licenses, and distribution and licensing agreements.

Other Entertainment, Media and Sports Transactional Services  

 

We draft and negotiate a variety of other agreements in the entertainment, media and sports industries including social media agreements with and for influencers, book publishing agreements, modeling agreements, endorsement agreements, management agreements, video game development agreements and software development agreements for video games.

Litigation, Arbitration & Mediation Services

 

We work hard to keep our clients out of litigation but, when the need arises, we aggressively represent clients before California state and federal courts (and other courts on a pro hac vice basis), administrative agencies (including the Labor Commission for Talent Agencies Act cases) and various arbitration tribunals including the entertainment guilds, IFTA, AAA and ICDR, and in mediations. 

Intellectual Property Services

 

We register copyrights, prosecute trademarks, represent clients in proceedings before the USPTO Trademark Trial and Appeal Board, negotiate and draft intellectual property assignments and licenses and handle clearance issues.
